A company secretary is a senior position in a private sector company or public sector organisation. Company secretaries are the company's named representative on legal documents, and it is their responsibility to ensure that the company and its directors operate within the law.

Company secretaries are the primary source of advice on the conduct of business and this can span everything from legal advice on conflicts of interest, through accounting advice on financial reports, to the development of strategy and corporate planning.

Company secretaries act like in-house lawyers, taking care of day-to-day functions/activities of corporate secretarial department in an organisation. They are professionals who take care of governance-related issues in a company and also sign documents that are sent to regulators, including the ministry of corporate affairs, stock exchanges and Securities and Exchange Board of India (SEBI).

They are also responsible for conducting board meetings, preparing the agenda, issuing notices to the board of directors, following up orders for these meetings, and handling legal compliance of an organisation.

The job involves giving advice on conducting a business, dealing with situations involving conflict of interest, suggesting ways to prepare financial reports, and developing corporate strategy and assisting in planning.

In Simple words – a Company Secretary is the person who deals from the birth of the company to the death of the company with its legal and secretarial affairs. Company Secretary is the person who is a place below the CEOs and Chairman and above the other professionals in the hierarchy.

 

CSEET Subjects – It has four subjects.

  • Paper 1: Business Communication (50 marks)
  • Paper 2: Legal Aptitude and Logical Reasoning (50 marks)
  • Paper 3: Economic and Business Environment (50 marks)
  • Paper 4: Current Affairs, Presentation and Communication Skills (Viva Voce) (50 marks)

 

The exam will consist of an online computer-based exam and an online viva voce.
