This course will examine mergers and acquisitions in the global scale, including identifying targets; valuing the targets; negotiating the deals, and structuring the post-deal integration. It will also cover the legal, organizational and strategic issues that impact the acquisition process.Â
This course considers the substance, form, and mechanics of corporate mergers, acquisitions, and reorganizations. It explores generally the tax, SEC, accounting, and successor liability considerations that apply to such transactions.
This course teaches basic corporate acquisition planning. It emphasizes a transactional approach to many of the legal and business issues that arise in mergers and acquisitions, including corporate, tax, securities, regulatory and valuation considerations.
